Your Tasks

  • Prepare, review, maintain minutes, resolutions, written consents, and assist with filing of corporate organizational documents / other corporate documentation.
  • Maintain corporate minute books and corporate seals.
  • Assist with M&A or other legal transactional matters and matters related to the Company’s internal and external auditors.
  • Serve as the legal services team's liaison in support / coordination of assigned projects, including identification of internal resources and communication with internal business to assist with responses to internal / external customers.
  • Handle variety of tasks and matters with respect to litigation, including but not limited to assisting with discovery, reading pleadings, investigating facts, reviewing correspondence and memoranda.
  • Maintain litigation database to locate, compile and analyze files and information.
  • Manage calendar for legal filings and deadlines and liase with outside counsel.
  • Periodically audit adherence to litigation hold procedures.
  • Research and understand state and federal rules, laws and regulations related to corporate governance to determine the effect on Company; assist with the design and implementation of policies and procedures to enhance and ensure compliance with various legal requirements.
  • Work with internal legal / risk / compliance functions to manage responses to compliance audits, and litigation-related requests.
  • Contribute to management of compliance-related materials, trainings and reporting; where needed, work with the internal compliance function on drafting and updating company policies, procedures and guidelines.
  • Respond to questions from divisions, including providing direction regarding compliance with organization policies, procedures and guidelines.
  • Prepare and review various contracts and other legal documents under direction of legal services team.
  • Assist in the development and maintenance of standard contract templates and implementation of processes, systems and required tools to ensure efficient / timely contract preparation.
  • Assist with and manage special projects and research related to the Legal Department.
     

Your Skills

  • Business and corporate legal experience
  • Bachelor’s degree and paralegal certificate preferred, but not required
  • Excellent writing, verbal communication, and proofreading skills, with strong attention to detail.
  • Solid calendaring, organizational, and multi-tasking skills.
  • The ability to work efficiently to deadlines and effectively prioritize among multiple projects.
  • Willingness and ability to work independently and take initiative.
  • Proficient with MS-Word, Excel, Outlook (document redlining/comparison ability is essential)
  • Good organizational skills and ability to work independently or as part of team.
  • Proficiency with MS-Word, Excel, Outlook, and Acrobat.
